By-Laws
(a) The President of this Association shall preside at all meetings of the Association and of the Board of Governors; he shall be ex-officio member-of all committees; he shall appoint all committees; he shall by and with the approval of the Board of Governors, make and execute all contracts on behalf of the Association. He shall see that rules and regulations of the Association are properly enforced, and perform such other duties as may be required by the Board of Governors or the Constitution and By-Laws. (b) The Vice-President shall perform the duties of the President in the absence of the President. Should neither be present at any meeting, the members present may elect a. presiding officers, who shall during the absence of the President and Vice-President, perform the duties of the President. (c) The Secretary shall keep the records of the meetings, of the Association and of the Board of Governors; and shall perform such other duties as may be assigned to him by: the Board of Governors, he shall conduct all correspondence, except that pertaining to the office of Treasurer. He shall issue and mail all notices of meetings of the Associations and of the Board of Governors, to the members thereof. (1). He must also send sick cards to members and their immediate families. Flowers will be sent only upon death of member or spouse. The amount not to exceed $50.00. (d) The Treasurer shall keep the accounts of this Association, he shall collect and disburse the funds as directed by the Board of Governors; he shall submit a detailed report of the financial transaction of the Association for the proceedings fiscal year at the Annual Meeting of the Association, which report and the books of the accounts kept by the Treasurer shall be audited by the Committee appointed for that purpose prior to said meeting; he shall be required to furnish a bond at the expense of the Association, for the faithful performance of his duties. (e) All checks must be signed by two (2) of the four (4) Club Officers. Article 2: BOARD OF GOVERNORS 1. Upon the request of the President or any of the Board of Governors, the Board of Governors shall hold meetings from time to time at such convenient place as may be designated, upon at least two (2) days notice mailed by the Secretary to each Governor of the time and place of such meeting. 2. Eight (8) members of the Board of Governors shall constitute a quorum for the transaction of business. 3. It shall be the duty of the Board of Governors to carry out the objects and purposes of the Association, subject to the By-Laws. They shall have the power to admit, censure, suspend and expel members, to ratify or reject appointments made by the President in connection with vacancies occurring in any office or in the membership of the Board; to make and amend rules and By-Laws for the government of the Association, and to fix and remit penalties for violation of the rules and By-Laws. 4. Vacancies in the Board of Governors may be filled by the President and approved by the Board and the person so appointed shall hold office until the next Annual Meeting of the Association. Same rule in the vacancies of officers, except Vice-President, succeeds President and new Vice-President shall be appointed and approved. 5. The activities of all committees shall at all times be subject to the authority and control of the Board of Governors, and it shall be the duty of the Chairman and members of all committees at all times to carry out the directions of the Board of Governors. Article 3: MEETINGS AND ELECTION. 1. The Annual Meeting of the Association shall be held during the month of January in each year as called by the Board-of Governors, Written notice shall be sent at least ten (10) days before the meeting to all members. 2. The Officers and Board of Governors of the Association shall be elected at4he Annual Meeting. A plurality of ballots cast shall elect. 3. The term of office of members of the Beard of Governors, Officers Chairman and members of committees shall commence with their installation at close of business at the Annual Meeting and shall continue until the next Annual Meeting, or the election or appointment of their successors. 4. Special meetings may be called at any time by order of the President, or by three (3) members of the Board of Governors. Any fifteen (15) members of the Association may call a Special Meeting with or without the consent of the President or Board of Governors, by posting a written call over their signatures on the Association bulletin board and notifying the Secretary. The call for a Special Meeting shall set forth the purpose of the meeting, and notice thereof shall be mailed by the Secretary to each member ten (10) days prior to the time of such meeting, and no other issues shall be transacted other than that specified in the call and notice. 5. Only regular members in good standing shall be entitled to vote at the Annual Meeting. Use of proxies is prohibited. Members whose dues are unpaid are not "Members in good standing". 6. Prior to the Annual Meeting, the President shall appoint a nominating committee, whose duty shall be to prepare and submit a slate of Officers and Governors to be voted upon at the Annual Meeting. The list of Officers and Governors to be submitted shall be posted on the Associations bulletin board for at least one (1) week prior to the Annual Meeting. 7. Independent nominations for any office may be made by any member in good standing at the Annual Meeting. 8. Where more than one (1) candidate has been nominated for any office, election for that office shall be by closed written ballot, the plurality of ballots cast shall elect. 9. The nominating committee shall act as tellers of election at the Annual Meeting: in absence of any members of this committee, the President shall appoint tellers. 10. At all meetings of this Association and Board of Governors, the order of business shall be as follows: 1. Ascertaining member present. 2. Reading of minutes of preceding meeting. 3. Report of Officers. 4. Report of Committees. 5. General business. 6. Elections. 7. Adjournment. 11. All meetings of the Association or Board of Governors shall be conducted according to the rules of parliamentary procedures. Article 4: MEMBERSHIP Candidates for membership must be proposed in writing on forms approved by the Board of Governors, endorsed by one (1) member in good standing; the initiation fee shall be tendered with the application for membership. The Board of Governors by majority of quorum present and voting shall pass on applications for membership. Applicants who are rejected may reapply after thirty (30) days. Upon notification of election, applicants shall pay dues to end of fiscal year (January 1st), based on $25.00 per year. Members are to be notified that dues are due and must be paid before Annual Meeting in January. Treasurer will start collecting dues on December 1st. Yearly dues of $25.00 shall be paid by January 1st to be in good standing. In addition, all new members will pay a $5.00 initiation fee plus $1.00 for V.S.G.A. card. Dues will be due December 1st, with deadline of February 28th. Anyone after this date will come in as a new member. The Treasurer shall at all times keep a roll of membership which shall indicate whether dues are paid. All members being of the age of "80" or older on 1 January of each year shall become a "LIFETIME" member with paid up dues. In event of resignation, no return of dues, the resignation is effective on payment of all obligations. Ex-members may re-apply for membership as new applicants. Article 5: COMMITTEES The following standing committees shall be appointed by the President and ratified by the Board of Governors: Tournament Committee, Entertainment Committee, Handicap Committee, 1. Tournament Committee: Three (3) members shall arrange all golf tournaments and matches with other organizations, receive and post entries for same; shall have full charge of all golf tournaments and matches, provide for prizes etc. Make and publish local rules. 2. Handicap Committee: Three (3) members shall make and keep an accurate record of the handicap of all members, make all rules pertaining to same; post this list on board provided for that purpose, and revise this list from time to time. Handicap list shall be used in Club tournaments, 3. Entertainment Committee: Three (3) members to sponsor, prepare, and present such entertainment activities and programs as in their discretion may seem desirable. They shall be in full charge of all social functions of the Association. The President shall have the power, subject to vote of the Board of Governors, to appoint such other Committees as he may deem expedient or necessary, and to delegate to those Committees such duties as may be found necessary for the proper conduct of the affairs of the Association. In case of Death, resignation, removal or incapacity to act of any member of the Board of Governors or Committee, President shall appoint successors, to be ratified by the Board of Governors. Article 6: Adendums Change to By-Laws for Seniors Tees All members before the 2004 season, who were 65 (Sixty-five) years of age and older, will be allowed to play the next tee box that the group plays. Beginning with the 2005 season, members who are 65 (Sixty-five) years of age and have a handicap of 11 (Eleven) or higher will be allowed to move up to the next tee box. All other seniors will play the same tees that the group plays. This change will be grandfather in all seniors without restrictions, who were members and 65 (Sixty-five) or older before 2004. While this change deals with the general application for the HGA, ant member may apply to the Board of Governors for special exemption due to health or any other reason. |
